SCHEME OF AMALGAMATION FOR AMALGAMATION OF OF VAYUDOOT LIMITED, TRANSFEROR COMPANY WITH NATIONAL AVIATION COMPANY OF INDIA LIMITED, TRANSFEREE COMPANY (Under Sections 391 TO 394 and 396 of the Companies Act, 1956)

PREAMBLE:

1.1

M/s Vayudoot Limited (hereinafter referred to as ‘Vayudoot’ or ‘Transferor Company’) is a company incorporated under the provisions of the Companies Act, 1956 and having its Registered Office at Safdarjung Airport, New Delhi 110 003. Vayudoot is a Government Company within the meaning of Section 617 of the Companies Act, 1956 and is a wholly owned subsidiary of National Aviation Company of India Limited.

M/s National Aviation Company of India Limited (hereinafter referred to as ‘NACIL’ or ‘Transferee Company’) is a company registered under the provisions of the Companies Act, 1956 and having its Registered Office at Airlines House, 113 Gurudwara Rakabganj Road, New Delhi 110 001. NACIL is a Government Company within the meaning of Section 617 of the Companies Act, 1956 and is under the administrative control of the Ministry of Civil Aviation. NACIL is an unlisted company. With effect from 01.04.2007, Air India Limited and Indian Airlines Limited have been amalgamated in NACIL pursuant to order dated 27.08.2007 of Ministry of Corporate Affairs.

NACIL is primarily engaged in the business as an airline for providing air transport and allied services.

In pursuance of the Scheme of Amalgamation for amalgamation of Air India Limited and Indian Airlines Limited with NACIL, with effect from 01.04.2007, Air India Limited and Indian Airlines Limited have been transferred to and vested in and managed by NACIL, as a going concern, without any further deed or act, together with
