MOA FEEDSTOCK AGREEMENT
MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT made and entered into by and between:

GREEN ATOM RENEWABLE ENERGY CORPORATION , a corporation duly organized and existing under and by virtue of the laws of the Philippines, with office address at 5th Floor Rublou Business Center, Ortigas Avenue Extension Cainta, Rizal , represented by its Chief Operating Officer, MR REX G. RECARRO hereinafter called "GREEN ATOM".

ATOMILLION CORPORATION, a corporation duly organized and existing under and by virtue of the laws of the Philippines, with office address at Unit 9B Olivarez plaza, Brgy. San Dionisio, Parañaque City, represented by its Director, MS MA. CRISTINA M. DELA CRUZ hereinafter called “AC”.

WITNESSETH:

WHEREAS, Green Atom, is a renewable energy power plant developer; with an existing developmental project of 50MW Waste to Energy Power Plant Facility in Naic, Cavite.

WHEREAS, AC is a trading company operating nationwide providing raw materials supply, procurement, consolidation, outsourcing and general services for its clients which requires immediate, regular, and dependable sources of materials in the course of their business operations;

WHEREAS, AC offered to facilitate the sourcing, procurement, and transport of the raw materials to Green Atom's waste to energy power plant facility located at Naic-Indang Provincial Road Brgy. Palangue 3 Naic Cavite, the raw materials may include municipal solid waste, biomass, sewage, manufacturing waste, waste plastics, agricultural waste, and any other organic waste generated or collected by AC’s clients, and Green Atom accepted the offer ;

WHEREAS, the raw materials hereinafter "feedstock" that will be supplied by AC to Green Atom will be the feedstock raw material of the waste to energy facility that will be sorted, processed, and converted to energy at the facility among others;

NOW THEREFORE, for and in consideration of the foregoing premises and the terms and conditions
