THIS AGREEMENT TO SELL is made on this ___ day of _________ 2012

BETWEEN

M/s. P. C. Enterprises Pvt. Ltd., a private company, incorporated under the companies Act, 1956 having its registered office at 5F Everest, 46/C, Chowringhee Road, Kolkata – 700071 through its Authorised Signatory ……………………. R/O ………………………………………….., who has been empowered through an appropriate Board Resolution dated ……………… to execute this Agreement..

Hereinafter called the “FIRST PARTY” or the “PARTY OF THE FIRST PART”, (which expression shall mean and include its successors, representatives, assigns and nominees) of the one part.

Hereinafter called the “SECOND PARTY” or the “PARTY OF THE SECOND PART”, (which expression shall mean and include its heirs, successors, liquidators, executors, legal representatives, administrators and assigns etc.) of the other part.

WHEREAS the First Party has been allotted a Flat No. T5/101, in “Unihomes” at Malrojapuram, Nellikuppam Road, Nallambakkam Village, Chennai - 48 admeasuring 700 Sq. Ft. alongwith one Car parking (hereinafter referred as the said Property) by M/s Unitech Limited vide Letter of Allotment dated 23rd October, 2009.

AND WHEREAS the First Party has agreed to Sell/Transfer the Said Property to the Second Party, at a sale consideration of Rs. …………./- (Rupees…………………………………… only) as per details below:
