JOINT VENTURE AGREEMENT
1. THIS IS A JOINT VENTURE AGREEMENT (“Agreement”), made today the 16th day of October 2014, between Savant Moore (herein called “COMPANY”) and The Howard Theatre located at 620 T St NW, Washington, DC 20001 (herein called “Night club”)
2. This agreement shall remain in effect till the morning of Sunday November 9, 2014 from the date hereof.

ARTICLE I GENERAL PROVISIONS

1.01 Business Purpose. The business of the Joint Venture shall be as follows:

Savant Moore will be responsible for the promotion of a social gathering (herein called “EVENT”) at The Howard Theatre at 620 T ST NW, Washington, DC 20001 on the 8th day of November, 2014.

1.02 Terms of the Agreement. This Joint Venture shall commence on the date first above written and shall continue in existence until the 9th day of November, 2014.

ARTICLE II GENERAL DEFINITIONS

The following comprise the general definitions of terms utilized in this agreement:

2.1 Affiliate. An affiliate of an entity is a person that, directly or indirectly through one or more intermediaries, controls, is controlled by or is under common control of such entity.
2.2 Capital Contribution(s). The capital contribution to the Joint Venture actually made by the parties, including property, cash and any additional capital contributions made.

ARTICLE III OBLIGATIONS OF THE JOINT VENTURERS

NIGHT CLUB will be responsible for all operations and expenses apart from promotional or travel expenses incurred by Company. Company will be fully responsible for the conception and execution of promotional operations in which it chooses to implement.
