Contract Law Case Summary
Contract laws are governed by the common law and the Uniform Commercial Code. The difference is that common law usually governs transactions with real estate, services, intangible assets, insurance and employment while UCC governs contractual transactions of goods and tangible goods like a house. It’s very vital to understand their difference especially when dealing with contacts.
ANALYSIS OF THE 3 CASES IN SUBMISSION 5-8

UCC laws will apply in Maria’s case, the laws states that a change to an offer may still establish a binding contract but it all depends on the circumstances surrounding the differing term. In this case Salvador goes against the contract’s terms by painting the walls in colors Maria never asked for. He asks Maria to pay him 500 dollars but Maria declines and asks him to start over.
What makes this case a UCC one is Maria’s willingness of Salvador to start over in order to get paid. If Maria had decided to reject the offer and offer the contract to someone else then common law would have applied in taking legal actions on Salvador.

In contracts term by UCC, goods must be delivered on time as the party had agreed. However the supplier is not held liable for any damage as long as goods are delivered on time. The buyer also has the right to reject any goods

The problem with Mad Larry is that he refused to report the defects in his order in a reasonable time as required by the UCC laws. This case has an issue because of the acceptance process where Mad Larry remained with the goods for a long period and failed to inform Crayzee toys on the error upon receiving the goods. Crayzee toys believe they had full filled their UCC obligations and If Mad Larry had rejected the goods within a reasonable period, then the buyer could have been responsible of failing to meet his basic duties under UCC
