Preparation Memo 3: Harborco
My Interests and Goals My role in this negotiation is to be the representative from the Federal Department of Coastal Resource (DCR). My agency will be crucial in providing Harboco with Federal funding to help them build their proposed deep-water port off the coast of Seaborne. My agency has placed two priorities will be to ensure federal funds are used for Harborco’s construction project and to ensure that the environment will be maintained and repaired. I am also interested in guaranteeing compensation to nearby ports, having a reasonable diverse industry mix, and allow Harborco to freely staff their deep-water port. The DCR has a dual mandate to provide federal funding and protect the environment.

Our agency would prefer that this project improve the environment since it would help win political credibility. Consequently, the DCR will not accept any offer that will harm the environment; we do understand the financial burden these requirements would be placed onto Harborco if they are expected to improve environment from its current state. We will accept any actions that will help maintain and repair any damage this project will undergo Our secondary objectives, compensation to other ports, industry mix, and employment distribution, are not as important as our agency’s primary objectives. Our agency will accept any decisions that will help increase the economic viability of this project. We will use these points as leverage to logroll with the other parties to reach an agreement. For this negotiation, my main targets will be to provide a loan of $1 billion, and for Harborco to improve the environment. Our secondary targets will be to have minimal compensation of $300 million to other ports, have a diverse mix of “clean/dirty” industries, and to have no union employment distribution. My resistance points would be to offer a loan of $2 billion dollars and for Harborco to maintain and fix any damage.     From the exercise of Harboco, I have learned three valuable lessons in multiple-parties negotiation: identify relative power of each part, find each party’s best interest, and ally with key parties. Before started negotiation process of this case, I felt overwhelmed after I read case and job description. At time, I was thinking, “Oh my god!! I couldn’t even master 1 on 1 negotiation yet and now we have 6 parties while each side has different degree of interests in 5 categories!!” I was very clueless and in deep doubt that all parties could even reach an eventual agreement. However, after tried to answer questions listed by you, I started getting better sense where to go and how to formula strategy for negotiation process. To start with, I ranked relative power of every party. In my opinion, I saw DCR and Harboco as most powerful because they could veto any proposals that they didn’t like. In contrary, I ranked environment league and other ports as least powerful because they didn’t really have control over whether project would be built or not while rated myself, as representative of union, and governor in the middle. For approval of this project, only 5 votes of yes required. At same time, after carefully analyzing each party’s best interest, I saw that at least four parties want this project to happen, including myself. This gave me very comfortable assurance. As soon as I realized that, I knew that all I needed for this negotiation was to get additional ally, either from environmental league or from other ports. Even better, on my score sheet, ecological impact didn’t really affect my score, and I saw that as great bargaining chip to gain support from environmental league. On the other side, I found that not only governor would like this project to happen, but also he was on union side and would like to see maximum employment opportunity for union members, while unlimited union preference account for most substantial part on my score sheet.     For the Texoil negotiation, I was in the role of the Service Station Owner. As such, my main objective was to sell the station and get the best possible agreement. My BATNA was $400,000, which represented an offer from British Petroleum and my resistance point was $413,000 after tax, which represented the cost of my trip. My target was $488,000, which included an additional $75,000 to help tie me over until I found a job upon my return. This resistance point represents a purely financial alternative. However, there were several other criteria or interests other than strictly financial which could have been satisfied through non-financial means. My underlying interest or reason for selling the station was to realize my life’s dream of sailing around the world. My wife and I were planning to take a two-year trip and needed the money to buy a sailing boat and cover our costs. Furthermore, I was concerned about having a job when I returned, and concerned with tax issues because of the capital gain on the sale. The final agreement included a purchase price of $210,000, covering $86,000 to get my boat ready, a Texoil gas card for a 25% discount worth $10,000 of my maintenance costs, a job at $85,000 for less hours upon my return, and a loan to cover the rest of my cashflow needs not payable for two years. Towards the end of the negotiation I was still concerned about the size of the loan I would still have outstanding. But since I would be making an additional $10,000/year for less hours and have about 13 years before retirement made this agreement very attractive. I was satisfied that I could pay off the loan with my increased salary or sell the boat upon my return. In this respect, although I did not achieve my target price in terms of cash, the agreement was worth $553,000 or $535,000 after-tax. This was well above my target of $488,000.
