Executive Summary
The failing corporate governance system, excessive risk-taking and the greedy manager have all been cited as reasons for the recent financial crisis. This thesis determines the connection between these three aspects and agency theory, deriving two potential side effects and consequences. In theoretical support of the relationship between the shareholder primacy inherent in agency theory and risktaking as well as the critique of the model of man in agency theory, two intertwined research questions are investigated,

Did the agency theoretical prescriptions of corporate governance and directors’ financial literacy impact the risk profile of Scandinavian banks during the Financial Crisis? And are there differences in the moral and ethical perceptions of business majors in comparison to other majors?
Through an analysis of agency theory and its impact on practical corporate governance, this thesis develops ten hypotheses regarding the relationship between risk-taking to the composition of board of directors, director background and the utilization of stock based remuneration. Additionally, based on the critique of agency theory, three hypotheses with regards to the presumed negative impact of agency theory on the moral and ethical perceptions of business majors are presented.

    Financial crises had repeated several times such as the great depression in 1920, saving and loan crisis in 1986 and Asian crisis in 1997 before the 2007-08 financial crisis. There are a considerable number of articles about the causes of financial crises. Based on the traditional view, the causes of the financial crisis are the government budget imbalances, high inflation, low investment, low savings and low growth rate (Esquivel and Larrain, 1998). Specifically, the causes for the 2007-08 financial crisis stemmed from house price bubbles, the failure of risk management at sub-prime mortgage market and the dysfunctional ranking system and the causes are implicit in the relationship with a moral hazard. The definition of moral hazard is based on Leopold’s description (2009, p. 48): “More insurance could lead to lazier bicycle riders – a moral hazard – who enable more bicycle thefts. In finance the bicycle is risk. If I know I will be bailed out if I assume risk and fail, I’ll assume more and more risk and let you bail me out if I fail”. It mainly arises due to information asymmetry; asymmetric information is the situation in which one party in an economic transaction has better information than the other party.…

    The financial crisis of 2008-2009 has been largely and mainly attributed to the paralysis and failure of credit industry including mortgages. People were described to be using money that they don’t have, and the failure to repay such debts led to the collapse of the market. Fund sources became dried up because the rate of spending was not compensated by the rate of returns. The availability of “cheap money” due to credit lines allowed the creation of high demand for the same thing which then caused inflation. This also led to the fall and bankruptcy of different banks which needed bailouts from the government, or merging with other institutions in order to survive. The fall of the housing business also contributed to the financial crisis. More people defaulted on their mortgages which resulted to availability of more houses which increased the supply and then lowering the cost. However, the banks who invested in housing also borrowed the money – but due to low demand in properties and its low cost, they don’t have the ability then to repay what has been lost. This phenomenon rippled into other financial domains resulting to the financial crisis observed in 2008.…
