Macias* Thomas Moeller** Abstract Acquirers and targets allocate interim risk in merger agreements through Material Adverse Change (MAC) clauses and exclusions. While virtually all acquisitions have MAC clauses‚ there is broad cross-sectional variation in the number and type of MAC exclusions.
