TÓM TẮT M&A là hoạt động kinh tế tăng trưởng mạnh từ lâu nay trên thế giới. Ở Việt Nam, hoạt động này bắt đầu chưa lâu song ngày càng sôi động và hứa hẹn một sự bùng nổ trong thời gian đến tuy rằng những hiểu biết hiện tại về nó còn rất hạn chế. Chính vì vậy, bài viết này nhằm giới thiệu hệ thống các vấn đề cơ bản liên quan quá trình M&A và phân tích thực tế ứng dụng hoạt động M&A ở Việt Nam. Một trong những vấn đề lý thuyết mấu chốt cần nắm vững khi tiến hành hoạt động M&A được đề cập đến là các yếu tố tạo nên giá trị tăng thêm sau M&A. Bài viết cũng phân tích một cách cơ bản những kết quả và hạn chế của hoạt động M&A cho đến nay cũng như những cơ hội và thách thức cho hoạt động M&A sắp đến. Cuối cùng, điều quan trọng là đề xuất một số hướng giải pháp cơ bản chuẩn bị cho sự phát triển hoạt động M&A ở Việt Nam, nhất là các nội dung cần lưu ý cho các công ty tham gia M&A. ABSTRACT Merger and Acquisition (M&A) is an economic activity which has strongly grown for a long time in the world. In Vietnam, this activity has just begun in recent years, but becomes more and more exciting to promise a boom in a near future despite our limitation in the understanding about it. Thus, this article will systematically introduce basis problems related to the M&A process and analyze the reality of M&A application in Viet Nam. One of the key theoretical issues people need to master when conducting M&A is the factors creating added value after M&A. The article also basically analyzes the results and restrictions of M&A until now, as well as opportunities and challenges of M&A in the future. Finally, the significance is to propose some fundamental solutions preparing for the development of M&A in Viet Nam, especially, the contents esential for firms taking part
