J&G Garden Center: Lawn Care Services Division
J&G Garden Center: Lawn Care Services Division 1. Mr. Weed to me feels stuck between a rock and a hard place. As someone who has grown up in the outskirts of Columbus, Ohio, he feels the need to take into consideration, first, the views of his company from the public point of view before he can side with the company itself. To Mr. Weed If it is destroying his land then it should be stopped. With all of that being said, Mr. Weed is not taking into consideration that there is risk with almost every business venture taken. The company did everything by the books and accounted for all necessary precautions that should have been taken in order to make sure that all associated parties including customers were protected, all areas were shielded off, and warnings were made along with them signing all documents to make sure all terms and conditions were understood. He must realize that the new division, like most everything involves a certain level of risk and guidelines that must be followed, especially by the customer.
Since this new division is bringing in profits never seen before in the company, Mr. Weed could take proceeds from that to fund a pesticide awareness group that goes around educating the public at different events on behalf of the company that will teach proper maintenance and after care of treated lawns and yards. This may be a way to show the company in a more positive light to using pesticides and educating the public on the proper care their property. 2. An argument in favor of eliminating or changing the new division would be if the public viewpoint weighs heavier on the company than the proceeds from the new division. As stated in my answer for number 1 if the company wants to hold on to the new division it can hold and support local town gatherings and educate the public on proper lawn care.
Another option is to start a new organic approach to lawn care, one that doesn’t harm animals or water supplies.

3. This answer can vary.

    v. Shaffer, 2011). The non-compete agreement in Youngblood’s contract included a one year, 100-mile radius which would be considered rational. It is also pertinent to consider the nature of Youngblood’s position within TDI and any further restrictions under the non-compete agreement. It could be argued that Youngblood’s position is not in competition of his position held under Southwest or that the non-compete restrictions (if there are any) are beyond any legitimate business interest as was found in the case of Home Paramount Pest Companies, Inc. v. Shaffer, 2011, where Shaffer was presented from holding any position in the pest control industry, even as a passive stockholder.…

As you are interested in the reorganization of Drab and Olive, please find the following information regarding three different types of consolidation, or reorganization; a “Type A” consolidation, a “Type C” or an acquisitive “Type D” reorganization. The advantages of a “Type A” consolidation include that consideration need not include voting stock. Up to 60% of consideration can be cash and property without tax consequences for the stock received. “Type C” advantages include less complexity that a “Type A” consolidation because there are no state, federal or foreign laws to follow, the acquiring company assumes only the target companies liabilities that it chooses, and cash or property consideration for 20% or less of fair market value of the property transferred is acceptable. And finally an acquisitive “Type D” reorganization allows a smaller target company to retain its existence, which seems to be the best option for you since name recognition is an important factor in the gardening market.…

During the period of 1990, the down town business district of Wichita, Kansas was experiencing economical hardship due to the skyrocketing oil industry and the nationwide real estate slump. At the same time, the local leaders were in the process of developing strategies for urban renewal and new investments that would stimulate economic growth. They estimated $375 million would cover the entire revitalization project. In the wake of all this activity, they discovered hazardous chemical waste had been detected in some private and industrial wells in downtown Wichita. The Banking industry got wind of this and put a damper on granting loans for real estate. In June 1990, a local manufacturer, Coleman incorporated, approached the legal department about a contamination problem he discovered in the fall of 1988. Panic struck…. and it all hit the fan…. when the Kansas Dept. of Health and Environment, acting on behalf of the Environment Protection Agency, reported that Wichita was sitting on an underground polluted lake ----dubbed the Gilbert and Mosley site.. The site was four miles long and one-and one half miles wide. The polluted aquifer was right beneath the “center” of the business district. The parcels affected had an estimated value of $86 million. This six-square mile area included major banks, hotels, homes and industrial headquarters.…
