Systemx Inc. Withdraws Rs. 1 Billion Softguide Acquisition Offer Analysis
Case 1
SystemX Inc. Withdraws Rs. 1 Billion SoftGuide Acquisition Offer

The following is an excerpt from a news article in the Daily Update, March 07, 2010.

“SystemX Inc.called off its acquisition of SoftGuide Knowledge Consultants, Friday, saying that 1 Billion was too high a price.” (SoftGuide has a considerable market share in Training and Development services and would therefore help SystemX to diversify and expand its range of services to customers.) “Although SystemX officials would not comment further, several observers said that problems discovered at SoftGuide probably lay behind the decision…. The article said that SystemX feared that SoftGuide’s data-processing system was inadequate to handle the new products planned for the SoftGuide sales staff. SystemX officials were also concerned about the 30 percent annual turnover among sales personnel… Tabrez A., SoftGuide CEO, responded that the SoftGuide’s data-processing was quite competent and has absorbed at least one new product a month for two years.”

Questions:

a. Why should SystemX be so concerned about the capabilities of SoftGuide’s data-processing?

SystemX requires an adequate data processing system to ensure high quality service. An insufficient data processing system would have detrimental effects on a company. First, it would not be able to cater to the needs of the SofGuide sales staff which would then result to loss of profits.

Ockham Technologies, started by three former consultants at Alexander Group including Jim Triandiflou and Mike Meisenheimer, has little experience in product development. Therefore, in order for Ockham to 1) successfully develop the first product for IBM on a timely basis, 2) continue to build a full suite of five other products, I recommend that Jim Triandiflou renegotiates the term sheet with Noro-Moseley so that Ockham takes two million investment from Noro-Moseley in the current phase with the option to receive another two million after the IBM product development. The initial $2 million investment from Noro-Moseley will allow Jim Triandiflou to hire an in-house designing team to develop the IBM product. Moreover, the additional $2 million will secure funding for the development of the other five products. Lastly, Noro-Moseley will be able to offer constructive input on how to transform the management structure at Ockham and resolve the tension between Jim Triandiflou and Mike Meiseneheimer. I suggest that Ockham sets up a four-people board and this will allow Triandiflou and Meisenheimer to each specialize in one managerial field.…

There are some advantages. First, CSX only pay 40% of the Conrail shares in cash. In this way, it does not need to get too much cash for the shares. Then, when it exchanges shares, the blended value is $89.07 per share which is less than $92.5. So it is cheap in the two-tiered offer.…
