Nabil Gamez is not personally liable on the contract with Shirlynne Farms, Inc. Typically, member of the member-managed structure of Limit Liability Company have the authority to act on behalf of the LLC except otherwise there are restriction in a written operating agreement. Though Gamez a member had signed the contract with Shirlynne Farms, Inc., it will not hold him personally responsible of the defaulted contract especially that Gamez acted in good faith in behalf of the LLC. However, if Gamez have failed to include his title, company and the LLC name then he could be personally liable. Moreover, Gamez will likewise be liable if the signed contract includes personal guarantee language (Thomas v. Hobbs).
