Provisional Agreement For Sale and Purchase
This AGREEMENT is made on Oct2010 AMONG the first party __________________ (ID: ) of ____________________________________ Kln. (hereinafter called “the Vendor”) and; the second party _________________________ (ID: ___________________) of ______________________________________________(hereinafter called “the Purchaser”).
NOW IT IS HEREBY AGREED as follow: -
1. The Vendor agrees to sell and the Purchaser agrees to purchase, subject to the terms and conditions herein contained, all that ____________________________________________________, NEW TERRITORIES (hereinafter called “the said Premises”).
2. The purchase price of the said Premises shall be HK$1_____________________ which shall be paid by the Purchaser to the Vendor in the manner as follow: -
(a) Initial deposit shall be paid upon signing of this agreement in the sum of HK$100,000.00.
(b) Upon signing of the formal agreement for sale and purchase on or before 4Nov2010 in the sum of HK$ ______________00.00.
(c) Balance of purchase price shall be paid upon completion on or before __________________ at the Vendor’s solicitors in the sum of HK$____________000.00.
3. The said Premise is to be sold to the Purchaser or its nominee(s), sub-purchaser(s) free from encumbrances.
4. The Vendor and the Purchaser agree that they shall separately appoint their own solicitors.
The Vendor shall be represented by Messrs. to be confirmed.
Whereas the Purchaser shall be represented by Messrs. . to be confirmed.
Each party shall pay its own legal costs. All stamp duty shall be borne by the Purchaser solely. All plan fees, the costs of certified copies of the relevant title deeds including plan fees for such certified copies, search fees, registration fees and other disbursements shall be borne by the Purchaser. The Purchaser shall also pay and bear all legal costs and disbursements in respect of any Mortgage of the said Premises.
