Supplier Agreement
The Retailer Agreement is made effective October 10, 2016 between Vineyard Vine of 135 Water Way Stamford, Connecticut 11120 (“Seller”) and Maritime Clothiers, LLC 277 Marina’s Edge Drive Virginia Beach, Virginia 23456 (“Retailer”). Items Purchased: Seller agrees to offer to retailer for sale the following products (“Products”) in accordance with the terms and conditions of the non-exclusive agreement:

Men’s Long Sleeve t-shirts $20.00 50
Women’s Long Sleeve t-shirts $20.00 50
Toddler’s long sleeve t-shirts $15.00 25
Various Keyrings $3.00 25
Price. Products will be ordered matching the prices and quantities as agreed to by the parties and subject to the terms and conditions of sale and shipment established by the Seller.
Delivery. Seller will arrange for delivery by the carrier chosen by Seller. Delivery will be completed by November 10, 2016.

Payment shall be made to Vineyard Vines 135 Waterway Stamford, CT 11120 in the amount of $2750 upon delivery of all Products describing this Agreement. Payment terms for Products purchased here under shall be net 30 days following the date of invoice. If the invoice is not paid when due, interest will be added to and payable on all overdue amounts at 18% per year, or the maximum percentage allowed under applicable laws whichever is less. Maritime Clothiers, LLC shall pay all costs of collections. including without limitation. reasonable attorney fees. If Maritime Clothiers, LLC fails to pay for the Products when due, Vineyard Vines has the option to treat such failure to pay as a material breach of this Agreement, and may cancel this Agreement and/ or seek legal
