Situations that involve written and oral contracts between clients and contractors happen every day. Quite often, a price is agreed upon based on a completion date and the performance that happens along the way. One such situation that I have experienced was when my Dad decided to purchase a brand new townhouse in a downtown Cincinnati residential redevelopment project. A private contractor named Drees had won the rights from the city to be the only firm that could be used in the construction project and they are very popular there. A contract was signed between my parents and the developers that a new home would be built to their specifications and delivered within a six month period and upon that date they could move in. The focus of this analysis is to bring the contract under scrutiny that existed between Drees and my parents and how the contractor performed their duties.…

The requirement of acceptance with every binding legal contact is tied closely to the concept of unqualified mutual assent. Only when both parties have given their mutual consent does the law consider a binding legal contact to have been formed. Hence, if the offeree remains silent, their silence cannot constitute an acceptance.[1]…

Citizens Insurance v. Parsons was an 1881 decision, which established the test to determine governmental jurisdiction. The constitutional issue in this case concerned the validity of the Ontario Fire Insurance Policy Act. Parsons owned a hardware store in Orangeville, which was destroyed by fire one evening. Insured by Citizens Insurance, Parsons asked the company to cover him for his loss. Citizens Insurance refused to pay out on the basis that Parsons failed to comply with the conditions that had been written into the insurance contract. Parsons argued that the conditions failed to comply with provisions in the Ontario Fire Insurance Policy Act. Citizens Insurance argued that the Ontario law is invalid, as it imposes a contract with insurance companies – an aspect of trade and commerce that falls to the jurisdiction of the federal government. Parsons, however, argued that this was an issue of civil and property rights. This case went to trial, and eventually went to the JCPC, who acknowledged that there was a contradiction between S. 91(2) and S. 93(13). The JCPC then decided that although there was a possibility for overlap, there should be some way of determining which level of government has jurisdiction over what subject matter. This lead to the creation of the Parson’s Test. In the Parsons Test, you must consider if the dispute falls within one of the jurisdictions in Section 92 of the provinces. If the answer is no, then the jurisdiction automatically falls to the federal government. If the answer is yes, does it also fall under the power of Section 91? If the answer is no, then it is a provincial area of jurisdiction. However, if the answer is yes to both questions, then the courts must reconcile the constitution in some way as to figure out which level of government has responsibility for jurisdiction.…

    v. Oscar Zacarias, No. E2014-00122-COA-R3-CV, 2014 WL 4403106 (Tenn. Ct. App. 2014) discussed the validity of a signed contract when the individual who signed the contract does not understand English. In the Zacarias case, an agreement was signed between a homeowner and the plaintiff construction company to perform certain work on the residence. The homeowner never paid for the work. Therefore, the construction company sued the homeowner for breach of contract. The homeowner filed a counter-claim asserting he only had a limited understanding of English and that the alleged contract was actually explained to him as an “estimate”. The Trial Court found that because the preponderance of “evidence established that Mr. Zacarias did not know or understand the English language, [t]here was no meeting of the minds and no way for Mr. Zacarias to form a binding contract with Advantage Windows.” Advantage Windows at 2. This case was appealed to the Tennessee Court of…
