Study Kasus : Hershey Foods CompanyBoard of Director and Stakeholder conflict over saleSinopsis Kasus:Kasus ini mengeksplore issue governance dari perspektif yayasan HTC ( Hershey Trust Company). Latar belakang kasus ini adalah perbedaan pendapat/visi antara manager yang menjalankan perusahaan dan shareholder. Tujuan dari study kasus ini adalah untuk mengidentifikasi tekanan yang dihadapi perusahaan dan shareholdernya, yang diikiuti dengan perubahan strategik yang signifikan di perusahaan Hershey Food.

Kasus dimulai dari keinginan CEO HTC untuk menjual seluruh sahamnya di Hershey Food ke pihak lain yang kemudian memicu kegemparan dan protest dari anggota komunitas, aktivis lokal, politisi local, kantor pemerindah daerah dan serikat buruh.

Gambaran umum perusahaan Hershey Trust Company[GAMBAR 1]Sekilas tentang Hershey Food :Terletak di kota Hershey, Pennsylvania dengan populasi sekitar 13.000. Hershey Food bergerak di bidang : Coklat dan toko penjualan, Restoran , produk makanan lainnya.

Menguasai 43% pasar coklat domestic. Penjualan di tahun 2001 adalah $ 4.6 juta.

Pendiri Hershey :Milton S. Hershey lahir tahun 1857, membuka pertama kali pabrik di Derry Church pada tahun 1905. Milton S. Hershey mempunyai dua visi yaitu : menjadi yang terbesar dalam produksi massal coklat dan menciptakan masyarakat utopia.

CEO Richard Lenny :Menjadi CEO pada tahun 2001, CEO pertama yang berasal dari luar perusahaan.

Sebelumnya menjabat di Kraft Foods, sebagai VP. Tiga bulan pertama dia menjabat dia melakukan : penutupan pabrik, memecat sebagian karyawan, mengoutsource produksi cocoa. Visi Lenny berbeda dengan pendirinya, Lenny bervisi bahwa dia disana utk meningkatkan kesejahteraan shareholder. Tetapi mendapat reaksi keras dari stakeholder.

Sekilas tentang Hershey Trust Company :Berdiri tahun 1905. CEO saat itu adalah Robert Vowler. CEO dikontrol oleh 17 orang dewan Direksi, dan 7 orang direksi tinggal di Pennsylvania.

    By 1867, Hershey’s father “had largely cut himself out of the family picture” (Milton). Following an incomplete rural school education, he was apprenticed at the age of fifteen but was fired shortly after. Four years later, Hershey borrowed one hundred and fifty dollars from a gracious aunt to set up his own shop in the heart of Philadelphia. For five long years Hershey put everything he had into the business. But success eluded him, he finally closed shop and headed west to reunite with his father. Within a few short years Hershey had a successful and thriving business. But when Hershey got an up-close look at the art of chocolate making he was immediately hooked. “The fascination quickly became focused on milk chocolate, considered a delicacy” (Milton), but was largely dominated by the Swiss.
