Foss v Harbottle

Foss v Harbottle (1843) 67 ER 189 is a leading English precedent in corporate law. In any action in which a wrong is alleged to have been done to a company, the proper claimant is the company itself. This is known as "the rule in Foss v Harbottle", and the several important exceptions that have been developed are often described as "exceptions to the rule in Foss v Harbottle". Amongst these is the 'derivative action', which allows a minority shareholder to bring a claim on behalf of the company. This applies in situations of 'wrongdoer control' and is, in reality, the only true exception to the rule. The rule in Foss v Harbottle is best seen as the starting point for minority shareholder remedies.

Facts:
Richard Foss and Edward Starkie Turton were two minority shareholders in the "Victoria Park Company". The company had been set up in September 1835 to buy 180 acres (0.73 km2) of land near Manchester and, according to the report,
"enclosing and planting the same in an ornamental and park-like manner, and erecting houses thereon with attached gardens and pleasure-grounds, and selling, letting or otherwise disposing thereof".
This became Victoria Park, Manchester. Subsequently, an Act of Parliament incorporated the company.[1] The claimants alleged that property of the company had been misapplied and wasted and various mortgages were given improperly over the company's property. They asked that the guilty parties be held accountable to the company and that a receiver be appointed.
The defendants were the five company directors (Thomas Harbottle, Joseph Adshead, Henry Byrom, John Westhead, Richard Bealey) and the solicitors and architect (Joseph Denison, Thomas Bunting and Richard Lane); and also H Rotton, E Lloyd, T Peet, J Biggs and S Brooks, the several assignees of Byrom, Adshead and Westhead, who had become bankrupts.

At this point, Louisa informed Kacey that she and Keith Brooks had no intentions to pay her outstanding account of $40,000 and that Eric was bankrupt. Louisa told Kacey that they were not a partnership but lawyers practiced “in association” and that this information can be located on their website. Kacey found out that the lawyers work under their own names with separate bank accounts and share the cost of the rent and the receptionist equally. The lawyers would sometimes work on a client file together and divide the profits equally. The website now read “Bryan & Brooks” rather than “Paslay, Bryan and Brooks”…

    This paper examines the development and scope of accessory liability under the second limb of Barnes v Addy as it stands in both England and Australia. As to the law in England, the focus will be on the rearticulation of the principle of accessory liability under the second limb as stated in Royal Brunei Airlines Sdn Bhd v Tan.     The article I chose to discuss was a court case involving the Emergency Medical Treatment and Active Labor Act (EMTALA). A Dickinson County hospital violated EMTALA for failing to provide emergency care for a patient who was transferred to a different hospital without being completely stable enough for transfer. In 1985, Congress passed the law of “Emergency Medical Treatment and Labor Act” also known as (EMTALA) to ensure public access and treatment to emergency services regardless of race, ability to pay, or legal status (U.S. Dept. of Health, 2010). This act states that all individuals needing emergency medical support should never be discharged or transferred until their condition is stable. This act also states that hospitals should then provide stabilizing treatment for patients with emergency medical conditions. If a hospital cannot stabilize a patient within its capability, the hospitals duty is then to treat the patient’s condition and in the event the patient needs to be transferred to become stable then a risk and benefit consent form needs to be signed by the patient. The transferring physician must also sign a certificate that explains the transfer outweighs the risks of not being transferred.     The case of Salomon v Salomon &Co Ltd [1897] had significant impact in Company law, as it firmly established the principle of “Separate legal personality”. In this case the Court of Appeal initially considered the company was simply an agent of Salomon, in order to allow him continue like before but with limited liability. This was contrary to the meaning of the Companies Act 1862, and so he should be liable for its debts. However, the House of Lords later overturned this decision. They held that the company was fully registered and constituted. Lord MacNaghten stated that “Though after incorporation the business may be the same as it was before, and the same persons are managers, and the same hands receive the profits, the company is not in law the agent of the subscribers or trustee for them.
