    Introduction to Company Law

    • 11033 Words
    • 45 Pages

The first topic of this module introduces you to Company Law. You will begin by looking at the scope and development of Modern Company Law. It is important to identify the main sources of company and the introduction to the Companies Act 1965. The decision in dealing with the most appropriate form of business association is most important. The area of discussion will be on types of business entities and distinctions between the forms of organisations. The registration of different types of companies and the changing of status is allowed by the Companies Act. The legal characteristic of a company allows it to undertake activities in its own right and to sue and be sued in its own name. The separate legal personality characteristic and their implications will be discussed. Although a company is regarded as a person, unfortunately unlike humans, it cannot operate itself as it acts only through agents, either by expressed or implied. The agency principles must be used whenever we wish to attribute responsibility for a contract. The motive behind the formation of a company is relevant. This is because of the way the law treats certain activities carried out in…

The information revolution and the advances in technology during the past decades has brought to fore many challenges and issues to both governments and businesses, the age-old crime of espionage or the practice of spying to gather secret information is one the most potential issues facing information-based societies. Although, much has been documented as fact and fiction concerning the traditional foreign agents and spies, in today 's world of multi-national, multi-billion dollar corporations, and industrial espionage is a growing danger. Furthermore, this is aggravated by the fact that many large businesses are physically disseminated which has distributed management and administration, and more job specialization.…

Each country in the world has its own set of laws on business associations. Although there are just under 200 states in the world, there are even more company laws. One country, the United States of America, has 50 company laws within its territory (one for each State in the Union) plus the law of the District of Columbia (http://www.citmedialaw.org/legal-guide/forming-corporation-district-columbia ) In addition, there is also US Federal law which affects companies on certain matters, such as securities law (i.e. the sale of stocks and shares) and corporate governance. The USA also has a Model Business Corporations Act. It is now fairly obvious that the number of company laws in the world is large and that no single course of study could hope to cover these laws in any detail. Indeed, this task will not be attempted. Instead, the course will take a comparative approach to company law. We shall survey selectively the company laws of various countries on particular issues and shall use the law of business associations in the UK as a focal point of that comparative study.…

    corporate veil

In the main, traders and business people are risk averse; as a result, in whatever they do they always fight for risk minimization. The aforementioned factor –i.e. of minimizing risk- contributes, to a significant extent, for the decisions by traders and businessmen to forming companies. Consequently, traders and businessmen will see as the main attraction of forming a company the advantage of avoiding liability for business debts. This advantage arises from the concepts of separate legal person and limited liability which are embodied in the doctrine of corporate veil under company law. However, some businessmen, law scholars and the public at large argue that corporate veil is nothing but a fallacy meant to dupe business people into a false sense of security. The following presentation seeks to discuss this assertion, bringing out the significance and exceptions of the concept of corporate veil.…
