Rice Creek Townhouse Company Case Summary
It is our understanding that you will be assuming responsibility of this file through the appraisal process. In the event that this is not true, we are coping Ms. Crancer and Mr. Spevacek. The purpose of this correspondence is to reply to their correspondence dated March 3, 2017. Please note the following, in the order of the inquiries presented:

1. There is been no independent management committee associated “Rice Creek Townhouses” from 2011 to the present.

2. Rice Creek Townhouse company is a Minnesota limited partnership. The general partner is W-L-Associates a Minnesota general partnership. It acts through James E. Weinsch, a general partner. There is no board of directors for Rice Creek Townhouse Company. Mr. Weinsch has the most knowledge of this history of the

There were no property tax returns filed for Rice Creek Townhomes, from 2011 to the present, as they were not required.

4. Our understanding is that EMC has insured the property since 2000. Your insurance agent was able to provide us with a loss data report going to back to 2007. The claims history is attached as Exhibit 1. We note that this information was available to EMC, but we are providing the same as requested. In that regard, we ask that you check the time periods of 2000-2006 through your client’s own records. Prior to 2000, the property was insured by Ohio Casualty, which we understand was purchased by Liberty Mutual. We have no information with respect to those requested items or policies.

5. As noted above, the claims history is attached as Exhibit 1.

6. A list of the work performed and repairs made to the roof and claimed property is attached as Exhibit 2.

7. The real estate was purchased as unimproved property in approximately 1974. There is no documentation relating to that purchase available to our client. Any mortgage in connection with the property has long since been paid in full.

8. The information requested in our letter is referenced in our attached Exhibit

    Guilford Village Walk, LLC. It has many similarities to the case between Levitt and Gilligan Village. The court concluded Levy and Guilford Village have a fiduciary relationship to each other and member should not participate in self-dealing. They further determined the rationale of not selling the property due to the current economy was flawed and their actions relate to self-dealing to benefit one member of the LLC. Proof existed that the member who would benefit from self-dealing reached out to Levy to avoid financial ruin. When she did not receive the answer she desired, they removed Levy as manager and the other members named the concerned member as a replacement. The court felt there was an issue of material fact remaining to be resolved relating to the defendants' motive for removing Levy and preventing the sale of the property. We can apply these principles directly applied to our case; it appears Bivins is self-dealing and had Levitt removed because she would lose management fees. This would be a breach of fiduciary duty and duty of care. Again, facts are missing in our cases and that makes it hard to know for sure this was the case…

    Given the information, this project seems promising for success assuming high occupancy levels. The Millegan Creek Apartments would be a 390 unit apartment project in Williamson County, for a proposed $15,715,000 loan. It would be about 11 miles northwest of the CBD and close to many of Austin’s high tech companies.
