Executive Summary

Uttara Bank Limited played very important role in the economic development of our country. From the very beginning, Uttara Bank limited had been a nationalized bank in the name of Uttara Bank under Bangladesh Bank Order 1972, formerly known as Eastern Banking Corporation Limited. It was converted into UBL as a public limited company at 21.08.1983. In an attempt to examine the sustainability of a privatized commercial bank, a case study of UBL has been done. This study based on the reference period 1999-2007.

The annual report of a bank actually shows their accounting profit annually which is the difference between income and expenditure in a fiscal year. But accounting profit doesn’t reflect the original position of a bank. Management always tries to overvalue their position to hold the market share. To find out the position of a bank for investment whether the share value is in the market represent the actual value or it is understated or overstated is necessary to know to the investors. The present study is on the share valuation of a private commercial bank from analyzing the actual and proforma Financial Statements of 10 years.

The study is based both on primary and secondary sources of data. In making qualitative judgment on different issues, primary data are collected from various departments of UBL mainly Central Account Division. I have also collected data & information from secondary sources. The secondary source includes annual report, historical data, internet, various instruction circulars and other pertinent articles.

Finally, this paper contains some findings and recommendations, which may be helpful to further assessment of Uttara Bank Limited.
