Terms & Conditions (Footwear Company)

The goods are sold by the supplier to the retailer on the following conditions:

Transport costs of returned goods will not be met by the supplier if he is not notified of the retailers intention to return the goods prior to dispatch and if the goods are returned by a carrier other than specified by the supplier.

The Supplier reserves the following rights in relation to the goods until all accounts owed by the Retailer to the Supplier are paid in full:

              a. Legal ownership of the goods;
              b. To enter the Retailer’s premises (or the premises of any associated company or agent where the
                        goods are liability for trespasses or any resulting damage and to take possession of the goods;  
                        and located) without   liability for trespasses or any resulting damage and to take possession of  
                        the   goods; and
              c. To keep or resell any goods repossessed pursuant to (b) above.

If the goods are resold by the Retailer, the Retailer shall hold such part of the proceed of any such sale as represents the invoice price of the goods sold in a separate identifiable account as the beneficial property of the Supplier and shall pay such amount to the Supplier upon request.   Notwithstanding the provisions above, the Supplier shall be entitled to maintain an action against the Retailer for the purchase price and the risk of the goods shall pass to the Retailer upon delivery.

The retailer agrees not to remove the suppliers label or other identifying feature from the goods until payment in full of the purchase price is received.

The retailer hereby unequivocally and irrevocably grants the supplier the right to commence and/or proceed with any claim that the retailer may have against the third party to whom it sells the goods.
