Improbable Plot Casts Unflattering Light on SNC-Lavalin In October of 2012, one of Canada’s largest engineering companies, which was also one of the world’s five largest, hired a new CEO in what looked like the next chapter of an ongoing attempt to put a series of revelations about unethical and potentially illegal dealings around the world behind them. While the company had fired some key people who were connected with the scandals, there were those who publicly mused that the reported unethical and illegal dealings weren’t just the work of a rogue international VP, Riadh Ben Aissa, but that Mr. Ben Aissa’s way of doing business was well-understood within SNC. merger of two Montreal-based engineering While Mr. Ban Aissa was detained in jail in Switzerland on suspicion of paying bribes in order to get contracts in North Africa, including Libya, the new CEO, Robert Card, stated that sorting out the payments scandal would be the job of the company’s Board of Directors and his job would be to reassure investors by growing the business. At that time, investor concerns had caused the stock price to fall to $35 from $60 18 months earlier.…

Generally, the board of directors are responsible for the following duties: 1) duty of care – duty to make/delegate decisions in an informed way; 2) duty of loyalty – duty to advance corporate over personal interests; 3) duty of good faith – duty to be faithful and devoted to the interests of the corporation and its shareholders; 4) duty not to “waste” – duty to avoid deliberate destruction of shareholder value. There is no reason to believe that the duties of Vector’s board should be any different. The major conflict between Vector’s board and its president centers on President Wiegert’s management style, belief of excessive spending and his deceitfulness towards the board members and potential investors. Although President Wiegert’s management style was not initially noticed as a concern, it was brought to the board’s attention by the finance VP, Don Johnson, but he failed to receive any support. Johnson had observed the president not giving employees the “freedom to be effective” and focusing more efforts on profit and promotion instead of engineering and production. The board would finally acknowledge this was a rather large issue two years later. There were several instances where the board questioned the president’s misuse of company expenses but had a difficult time producing evidence of any wrong doing. The amount of excessive spending that the president was responsible for was noticed as a problem but no action was taken. The board members also voiced concern about the over exaggerated “fraudulent” business plan that President Wiegart was using to raise money for Vector. Wiegart was not only losing the trust of his board members and employees but also his potential investors. Another problem, not mentioned in the case, was the board members themselves. They were all selected by the founder and president of the corporation, with the exception of Baduraman Dorpi (he was appointed by the Indonesian investor per the purchase agreement). The board…

Fire the crucial element that contributed to the evolution of the human race. Without this substance the advancement of our species would never have come about. It can both bring about the creation of an entire civilization or destroy anything that comes within its grasp. This is why fire was so highly regarded in ancient society. Though many religions do not distinguish between the use of fire and the sun, it can be witnessed in their culture from art to text. The figures I have chosen to describe are from Greek, Egyptian, and Mesopotamian mythology. There are many similarities between the deities Hestia, Ra, Nusku, and that is each are different variations of the principal element of fire and warmth.…

There are two main corporate governance issues associated with this turnover in leadership. First of all, the issue of succession. The board is responsible for appointing the CEO4, yet it is obvious Mathewson had significant influence in the decision5. The board exists to avoid principal-agent problems and appointing a value-creating CEO is an important task yet here we see them taking an auxiliary role in the succession process. This was not immediately problematic as Goodwin seemed a reasonable choice however it set the tone for the firm’s dynamics early on.…
