Every study is incomplete without having a well plan and concrete exposure to the student. Management studies are not exception. Scope of the project at this level is very wide ranging. On one hand it provide sound basis to adopt the theoretical knowledge and on the other hand it gives an opportunities for exposure to real time situation. This study is a part of our course and curriculum and to do this project in a short period was a heavy task. Intention, dedication, concentration and hard work are very much essential to complete any task. But still it needs a lot of support, assistance and co-operation of people to make it successful. I bear to imprint of my people who have given me, their precious ideas and times to enable me to complete the research and the project report. I want to thanks them for their continuous support in my research and writing efforts.

EXECUTIVE SUMMARY
Corporate governance provides a systematic guidance to the business world of India, to help them carry good corporate practices, which are globally comparable. These practices deals with transparency, accountability, corporate responsibility and the fairness with which the business need to be governed. The concept of Corporate Governance has been gaining increasing importance on the backdrop of Global competition and at the same time it is under close scrutiny from regulatory bodies in India.

The project begins with underlining the objectives of the Study.
Thereafter, it explains the concept of Corporate Governance, its historical perspective, regulatory framework and definitions.
The project also explains principles of Corporate Governance, zero tolerance and Kautilya’s Arthashatra.
Next section deals with recommendations of some of the prominent committees formed to look into the corporate governance aspects. Such comities include Cadbury Committee and Kumar Mangalam Birla Committee. This project deals with the recommendations of these committees in detail.

This project also explains the Code of best principles, the CII code and role of SEBI in corporate governance.
