Introduction

Frustration with the performance of publicly traded companies has abounded for decades. Since the turn of the millennium, there has been an increase in economic downturn in many countries and financial scandals and corporate collapses have had an impact on investors’ confidence and market values worldwide. These series of events had served to focus the public eyes on the prominent topic of corporate governance to reinforce its codes and regulations, reducing the risk of failure of the corporations and their management, as well as guiding toward a better behaviour of companies, which is what society expects.
